PLEASE READ THIS TERMS OF USE CAREFULLY.
These terms of use (“Agreement”) govern your use of our NVIS software, products, and/or services (collectively, “Products”) and any information, content or appearing on or through the Products (collectively referred to as “Content”). By accessing or using the Products, you agree to the terms of this Agreement. If you have entered into another agreement with NVIS concerning specific Products, then the terms of that agreement controls where it conflicts with these terms. NVIS reserves the right, at any time, to modify, alter, update or remove portions of this Agreement. Please check this Agreement (as well as our privacy policy ("Privacy Policy")) from time to time as your continued use of the Product signifies your acceptance of any changed items.
1. YOUR LICENSE TO USE NVIS mobile application.
Subject to the terms and conditions of this Agreement and any agreement entered into by you relating to the Products, NVIS grants you a limited, non-exclusive, non-transferable, license to access and use the Products. You shall not (a) copy the Product or any part, feature, function or user interface thereof (b) use the Product to store or transmit infringing, libelous, or otherwise unlawful or tortious material, or to store or transmit material in violation of third-party privacy rights (c) attempt to gain unauthorized access to the Product or its related systems or networks; and (d) reverse engineer the Product (to the extent such restriction is permitted by law).
You agree, further, not to use or attempt to use any engine, software, tool, agent or other device or other mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Products or Content.
2. PRIVACY.
NVIS’s current Privacy Policy is incorporated herein by reference and made part of this Agreement. You understand that through your use of the Products, you consent to the collection and use (as set forth in this Agreement, the Privacy Policy and any agreement entered into by you relating to the Product) of your information for hosting, processing and use by NVIS.
3. NVIS'S RIGHTS.
All right, title, and interest in and to the Products and all underlying ideas, concepts, procedures, processes, principles, know-how, methods of operation, images, source code, and specifications related thereto, together with any updates, enhancements, modifications, improvements or derivatives works thereto, in each case including all copyrights, trade names, trademarks and other intellectual property rights therein (collectively, the “NVIS IP”), is, and shall remain the sole and exclusive property of NVIS. Certain NVIS IP is protected by Egypt copyright laws (and other laws relating to intellectual property). The Products are licensed, not sold, to you hereunder and, except for the express limited license rights granted to you in accordance with the terms of this Agreement, no right, title or interest in or to the NVIS IP is granted or otherwise transferred by NVIS in connection with this Agreement. NVIS shall have, and you hereby grant to NVIS, a royalty-free, perpetual, worldwide, non-exclusive, irrevocable right to use or incorporate into the Products and/or any specifications, without restriction or obligation, any suggestions, enhancements, recommendations or other feedback provided by you with respect to the Products.
4. TERMINATION.
NVIS may suspend or terminate your account or cease providing you with access to our Products, without notice, for any conduct that NVIS, in its sole discretion, believes is in violation of any applicable law or the terms of this Agreement. The sections titled “Privacy,” “Your Content,” “NVIS’s Rights,” “Termination,” “Indemnification”, “Limitation of Liability, “Disclaimer of Warranties,” “Indemnification,” “Miscellaneous” shall survive any termination of this Agreement.
5. INDEMNIFICATION.
You agree to indemnify, defend and hold harmless NVIS and NVIS’s officers, directors, employees, agents, and representatives, from and against any and all claims, damages, expenses, judgments, fines, and amounts paid in settlement in connection with any proceeding arising from your breach of this Agreement or your use of the Products (except for any gross negligence on the part of NVIS).
6. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOUR USE OF OUR PRODUCTS IS AT YOUR SOLE RISK, AND OUR PRODUCTS ARE PROVIDED “AS-IS” AND WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR USE, QUALITY, PRODUCTIVENESS OR CAPACITY, OR THAT THE OPERATION OF THE SOFTWARE INCLUDED WITHIN THE PRODUCTS WILL BE ERROR FREE. ALL OTHER WARRANTIES RELATING TO THE PRODUCTS OR THIS AGREEMENT ARE HEREBY EXPRESSLY DISCLAIMED BY NVIS. NVIS MAKES NO WARRANTY OR REPRESENTATION THAT (A) THE PRODUCTS WILL MEET YOUR REQUIREMENTS; (B) YOUR USE OF THE PRODUCTS WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE OR (C) ANY ERRORS IN THE PRODUCTS WILL BE CORRECTED.
IN CONNECTION WITH USING OUR PRODUCTS, YOU MAY PURCHASE OTHER PRODUCTS AND/OR SERVICES FROM, AND/OR PARTICIPATE IN PROMOTIONS OF, THIRD PARTIES. TRANSACTIONS RELATING TO ANY SUCH THIRD PARTY PRODUCTS, SERVICES AND/OR PROMOTIONS, AND ANY TERMS ASSOCIATED THEREWITH, ARE SOLELY BETWEEN YOU AND THE RELEVANT THIRD PARTIES.NVIS DOES NOT SUPPORT, ENDORSE OR MAKE ANY REPRESENTATIONS OR WARRANTIES REGARDING, ANY SUCH THIRD PARTY PRODUCTS, SERVICES AND/OR PROMOTIONS, AND IN NO EVENT WILL NVIS HAVE ANY LIABILITY WHATSOEVER IN CONNECTION THEREWITH.
IN NO EVENT WILL NVIS, ITS DEVELOPERS, OR ITS SUPPLIERS BE LIABLE FOR ANY LOST PROFITS, LOST OPPORTUNITY, LOST SAVINGS, LOSS OF GOODWILL, LOST BUSINESS, LOSS OF ANTICIPATED BENEFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, LOSS OF OR DAMAGE TO DATA, COMPUTER FAILURE OR MALFUNCTION, OR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR AS A RESULT OF THIS AGREEMENT, THE USE OF OR INABILITY TO USE THE PRODUCTS OR THE PROVISION OF SERVICES,
7. Digital Millennium Copyright Act Notice.
We respect the intellectual property rights of others, and require that the people who use the Products do the same. We may terminate the use privileges of users who are repeat infringers of intellectual property rights. Accordingly, you may not store any material or content on, or disseminate any material or content over, the Products in any manner that constitutes an infringement of third party intellectual property rights,
8. MISCELLANEOUS.
Force Majeure. NVIS shall not be liable for any delay or failure to perform any obligation hereunder due to causes beyond its control, including without limitation, war, riot, insurrection, civil commotion, terrorist activity, fire, industrial disputes of whatever nature, acts of nature, computer crimes, epidemics, acts or omissions of third party vendors or suppliers, equipment failures, public enemies of government, failure of telecommunications, system malfunctions, fire, or other casualty.
Waiver and Severability. Waiver by NVIS of any default or breach by you of any provision contained in this Agreement does not constitute a waiver of any subsequent default or breach of the same or any other provision of this Agreement. If any part of this Agreement shall be held invalid, illegal, in conflict with any law, or otherwise unenforceable by a court of competent jurisdiction, the remainder of this Agreement will nevertheless remain in full force and effect. No Third Party Beneficiaries. The parties do not intend to confer any right or remedy on any third party.

Except where you or your institution have entered into a specific agreement with NVIS and/or for particular Products, this Agreement and our Privacy Policy contains the entire understanding are the entire and exclusive agreement between NVIS and you regarding the subject matter of this Agreement and this Agreement supersedes all prior and contemporaneous negotiations and agreements, whether written or oral, between NVIS and you with respect to the subject matter of this Agreement.
Assignment. You may not assign this Agreement to any third party without the prior written consent of the NVIS. Any such purported assignment shall be null and void. Subject to the foregoing, this Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, and permitted assigns, if any. NVIS may assign its rights and obligations under this Agreement to a third party without your consent.
Controlling Law and Venue. This Agreement shall be construed and controlled by the laws of The Arab Republic of Egypt, without giving effect to principles of conflict of laws
Mobile Privacy

NVIS is owned and operated by NVIS Inc. This privacy policy covers the services accessed using NVIS mobile application . NVIS is a cloud-based learning management system and configurable social network for educational purposes. The platform provides a full suite of learning management tools. Students, teachers and parents can access NVIS through The school's enterprise account.
This Privacy Policy describes NVIS’s privacy practices in relation to information that we collect through the school's official website operated by us from which you are accessing this Privacy Policy (the “Main Domain”) and through the software applications made available by us for use on or through computers and mobile devices that link to this Privacy Policy (the “App”).
Information We Collect
Personal Information
“Personal Information” is information that identifies you as an individual or relates to an identifiable individual.
For Instructors and Parents:
Registration: The following Personal Information is collected from Instructors and Parents when they register for free a account: First Name, Last Name, Email.
Additional Information: The following Personal Information can be optionally entered by Instructors and Parents after registration: Bio, Gender, Birthday, Phone, Address.
For Students:
Registration: The following Personal Information is collected from Students when they register for free a account: First Name, Last Name, Email or Username, Birthday.
Additional Information: The following Personal Information can be optionally entered by Students after registration: Bio, Gender, Birthday, Phone, Website
NVIS requires districts, or teachers (on behalf of the parents or legal guardians of students under the age of 13) to provide consent for the online collection of personal information of the student under the age of 13 through NVIS. In order to register to use NVIS, students must use an access code provided to them by their teacher.
NVIS collects limited personal information from minor students only where that student’s school, district, or teacher has contracted with NVIS to collect personal information for the use and benefit of the learning environment. This information is not shared outside of the school or with any third parties except those needed for the provision of the service as outlined in this policy. Students of any age cannot share their profiles publicly outside of their classroom or school.
Instructors can give students grades, attendance marks and provide comments to students. Students can submit assignments, add comments and take online tests and quizzes, Instructors or students can record audio or video and attach these recordings to content or other items in our system. None of this information is shared with any third parties without the instructor or school's consent.
Teachers accessing NVIS on behalf of the School must ensure that they provide parents with access to this privacy policy.
Other Information
For the purpose of improving and enhancing its service, NVIS collects and analyzes data on how the app is used in the aggregate (how groups of people use NVIS). As true of most Web Sites, we gather certain information automatically and store it in log files. This information may include internet protocol (IP) addresses, browser type, internet service provider (ISP), referring/exit pages, operating system, date/time stamp, and/or clickstream data. We also use tracking technologies from third party service providers (as described below) to gather information regarding the date and time of your visit and the information you interacted with. We may link this automatically-collected data to personally identifiable information. We do not share this information with third parties - for more information on third party service providers, see section below.
Information on individual usage of the system, including but not limited to individual IP addresses, may be analyzed on a case-specific basis to resolve a technical difficulty or to assist in resolving or investigating any misuse of the service; also, such individual usage information may be furnished to your school if your school requests such information to assist in the investigation of fraudulent, abusive, or criminal activity or any other use of NVIS that violates your school's rules or policies.
Tracking Technologies
Cookies, Beacons, and other Similar Technologies: Technologies such as cookies, beacons, tags and scripts are used by NVIS and our tracking utility partners who provide online customer support and video management. These technologies are used to make it easier for you to navigate our site, to store your passwords so you don’t have to enter it more than once, analyzing trends, administering the site, tracking users’ movements throughout the site and to gather demographic information about our user base as a whole. We may receive reports based on the use of these technologies by these companies on an individual as well as aggregated basis.
Local Storage Objects: We use Local Storage Objects (LSOs) such as Flash to store content information and preferences. Third parties with whom we partner to provide certain features on our site or to display advertising for NVIS on other sites based upon your Web browsing activity use LSOs such as HTML5 or Flash to collect and store information. Various browsers may offer their own management tools for removing HTML5 LSOs. We work with a number of third party service providers to help improve the quality of our service. These third parties do not share your information with any other third parties.
NVIS uses the following third party services on the App:
Pendo - Pendo is an analytics service used to help analyze your use of our App and to improve it. We use the information we get from Pendo only to improve our App and our Services. Pendo does not share your information with any other third parties.
NVIS uses the following third party services on the Main Domain.
Google Analytics - Google Analytics is an analytics service used to help analyze your use of our Main Domain and allow us to improve communication. We use the information we get from Google Analytics only to improve our Main Domain. Google Analytics does not share your information with any other third parties.
Marketo - Marketo is a marketing communications tool used to help analyze your use of our Main Domain and allow us to improve marketing communications directed at adults. Marketo is also used on other adult directed pages of the Main Domain to allow users to submit their contact information to NVIS in order to request more information about our services. Marketo does not share your information with any other third parties.
AddThis - AddThis is used to facilitate social media sharing on our adult directed blog.
Disqus - Disqus is used to facilitate commenting on our adult directed blog.
New Relic - Application Performance Monitoring (APM) solution. It allows marketers to analyze their website performance over time, and zoom in on specific time periods to see what may be contributing to the website’s slow page load times. New Relic does not share your information with any other third parties.
Hotjar - A website analytics tool that allows marketers to interpret user behavior anonymously, without personally identifying individual users. Hotjar does not share your information with any other third parties.
Review and Deletion of Your Child’s Information
Parents have the right to refuse the site further contact with their child and to have access to their child's information and to have it deleted by contacting the school administrator.
Parents have the right to consent to the site's use of the child's personal information without having to consent to its disclosure of that information to third parties by contacting the school administrator.
If you are the parent and guardian of a student using NVIS, and cease to agree with NVIS’s terms of use and privacy policy at some point in the future, you may opt-out by contacting (a) your Subscriber (typically your school) NVIS administrator if you are an Enterprise account user, or (b) NVIS at privacy@nviseg.com if you are a basic account user.
If yours or your child's personally identifiable information changes, or if you no longer desire our service, you may correct, update, or delete it by making the change on our member information page or by contacting Customer Support. We will respond to your access request within 30 days.
We will retain your information for as long as your account is active or as needed to provide you services. If you wish to cancel your account or request that we no longer use your information to provide you services, contact us via support.nviseg.com. We will retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
Internet Privacy & Security
NVIS works to protect the online privacy of all of our school community members that use NVIS, including students, parents, teachers, and administrators. This privacy policy and NVIS’s information collection and security practices have been authorized by our school or teacher, and NVIS strives to manage your school's internet services in a secure manner. For example, NVIS uses industry-standard technology called SSL (Secure Socket Layer). SSL encrypts information transmitted across the internet to and from NVIS. You will know that SSL is working when you see the presence of an image of a closed lock or solid key in the bottom bar of your browser window. Unfortunately, no data transmission over the internet can be guaranteed to be 100% secure and “hacker-proof,” and NVIS cannot ensure or warrant the security of any information managed by the site, whether transmitted to NVIS by you, our school, or our teacher. NVIS shall not be liable if a security breach occurs, if the site malfunctions, or if information is misused or mismanaged in any way to your detriment or the detriment of a third party, whether by NVIS, our school, our teacher, or an unauthorized third party.
If we decide to change our privacy policy, we will post those changes to this privacy statement, the homepage, and other places we deem appropriate.
We reserve the right to modify this privacy statement at any time, so please review it frequently. If we make material changes to how we use your personal information or personal information collected from children under age 13, we will notify you prior to the change becoming effective, by email, by means of notice on our home page, and parents by email in order to obtain verifiable parental consent for the new uses of the child's Personal Information if required.
Disclosure
We may disclose your or your child’s personally identifiable information in connection with business transfers and purchases. As we continue to develop our business we may buy or sell business divisions or companies, we may merge or combine with another company, or our company itself and/or all or a significant part of its assets may be acquired by another company. We may provide any information we have to a potential counter-party in any such potential transaction. If such a transaction is completed, your or your child’s personally identifiable information may be one of the transferred and shared business assets. In the event that information is shared in this manner, notice will be posted on our Site.
In this event this privacy policy will continue to apply unless we contact you and ask you to opt in to any changes before they are implemented.
We may also share de-identified and/or aggregated data with others for their own uses.
We reserve the right to disclose your or your child's personally identifiable information as required by law and when we believe that disclosure is necessary to protect our rights and/or to comply with a judicial proceeding, court order, or legal process served on our Web site.

Because we cannot control the activities of third parties, we cannot accept responsibility for any use of your personally identifiable information by such third parties, and we cannot guarantee that they will adhere to the same privacy practices as NVIS.
